These Website Terms of Use govern your access to and use of coppertab.com. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. What these Terms cover, and what they do not

These Terms apply only to your use of the Site as a visitor. They are an agreement about browsing and reading a website.

These Terms do not govern access to or use of the CopperTab platform, application, dashboard, or services (the "Product"). Use of the Product is governed by a separate agreement between CopperTab and the customer, which currently consists of the CopperTab Cloud Service Agreement and the related Business Associate Agreement and Data Processing Addendum (together, the "Customer Agreement"). If you are a CopperTab customer or an authorized user of a customer, the Customer Agreement, and not these Terms, controls your use of the Product. In the event of any conflict between these Terms and the Customer Agreement with respect to the Product, the Customer Agreement controls.

2. Eligibility and authority

You may use the Site only if you are at least 18 years old and able to form a binding contract. If you use the Site on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.

3. Informational purpose of the Site

The Site is provided for general informational and promotional purposes. Content on the Site, including descriptions of the Product, its features, its architecture, its security practices, and its compliance posture, is provided for general information and may change at any time without notice.

The Site may describe features, integrations, certifications, or capabilities that are planned, in progress, or not yet generally available. Any such description is not a commitment, promise, or guarantee that any feature or capability will be delivered, will remain available, or will perform in any particular way.

Nothing on the Site is a binding offer, and nothing on the Site creates any representation, warranty, or contractual commitment by CopperTab. Any representations, warranties, and commitments regarding the Product are made solely in the Customer Agreement and are qualified by its terms, including any referenced third-party audit reports.

4. Not professional advice

Content on the Site, including any statements about HIPAA, data privacy, payment processing, security frameworks, or regulatory matters, is provided for general information only and does not constitute legal, regulatory, compliance, medical, tax, accounting, or other professional advice. You should consult your own qualified advisors before making decisions based on information found on the Site. Your use of the Site does not create any advisory, fiduciary, or professional relationship between you and CopperTab.

5. Do not submit protected health information through the Site

The Site is a general marketing website. It is not a HIPAA-regulated environment and is not designed or intended to receive, store, or process protected health information ("PHI") or other sensitive personal information.

Please do not submit PHI, patient records, or other sensitive personal information through the Site, including through any contact form, email link, chat, or other intake field. Any information you submit through the Site is handled as described in our Privacy Policy and should be limited to general business contact and inquiry information. The Product environment, which is governed by the Customer Agreement and the Business Associate Agreement, is the only environment designed to handle PHI.

6. Intellectual property

The Site and its contents, including text, graphics, logos, icons, images, page layouts, and the selection and arrangement of content, are owned by CopperTab or its licensors and are protected by intellectual property and other laws. Except for the limited right to view the Site for your own informational use, no rights are granted to you in or to the Site or its contents.

You may not copy, reproduce, modify, distribute, publish, frame, scrape, mine, republish, or create derivative works from any part of the Site, except that you may share links to publicly available pages and may make incidental copies as part of normal browsing.

"CopperTab," the CopperTab logo, and other CopperTab names and marks are trademarks of CopperTab, Inc. Other names and marks appearing on the Site are the property of their respective owners and are used for identification purposes only. Nothing on the Site grants you any license to use any trademark without the prior written permission of its owner.

7. Acceptable use

When using the Site, you agree that you will not:

use the Site for any unlawful purpose or in violation of these Terms;
attempt to gain unauthorized access to the Site, its servers, or any related systems or networks;
interfere with, disrupt, overburden, or impair the operation or security of the Site;
use any robot, spider, scraper, or other automated means to access, monitor, or copy the Site or its content without our prior written permission;
introduce any virus, malware, or other harmful code to the Site;
attempt to probe, scan, or test the vulnerability of the Site or breach any security or authentication measure; or
collect or harvest information about other visitors.

8. Third-party links and content

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by CopperTab, and may reference third-party payment processors, service providers, partners, or integrations. We provide these links and references for convenience and information only. We do not endorse and are not responsible for the content, products, services, privacy practices, or availability of any third party. Your dealings with any third party are solely between you and that third party.

9. Privacy

Information we collect through the Site is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices.

10. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, COPPERTAB DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CopperTab does not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that the Site or the servers that make it available are free of harmful components, or that the content on the Site is accurate, complete, reliable, or current. Any reliance you place on Site content is at your own risk.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COPPERTAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT COPPERTAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF COPPERTAB ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

This section does not limit any liability that cannot be limited or excluded under applicable law. This section does not apply to or limit the rights and obligations of customers under the Customer Agreement, which are governed by the liability terms in that agreement.

12. Indemnification

You agree to indemnify and hold harmless CopperTab and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your misuse of the Site or your violation of these Terms or applicable law.

13. Changes to the Site and to these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Changes are effective when posted. Your continued use of the Site after changes are posted means you accept the revised Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction and venue in those courts.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and CopperTab regarding your use of the Site, and they supersede any prior agreements on that subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent, and any attempt to do so is void. We may assign these Terms freely.
